use mspeg4 with lavcs internasl two pass, options eg -lavcopts 
vcodec=msmpeg4,keyint=300,vhq,vme=4,vpass=1,vbitrate=<desired bitrate in 
kbits or bits> for the second pass use vpass=2, everything else stays the 
same
