Yes, the source audio is ac3, not MP-1/2/3, so mad won't work.

I really can't see why you're re-encoding audio.  lavc's ac3 encoder
isn't very good, and you're outputting to only a slightly reduced
audio bitrate.

Setting the 'maxrate' to the same value as the 'bitrate' doesn't make
much sense.

Version string missing.  Looks like an unoffical package.

Hmm, looks like an older version of MPlayer.  I strongly recomend
upgrading to a more recent CVS snapshot.

Hmm.  Looks like mencoder is honoring the bitrate you told it to use. 
Your filesize problem must be caused elsewhere.
