here's the oryginal DivX (DivX file is hacked AVI but which AVI isn't hacked these days? ha):

here's the command:
mencoder "Warhawk epic trailer.divx" -o test.mov -of lavf -lavfopts format=mov -mc 0 
-noskip -vf-add crop=848:480,harddup -ovc x264 -x264encopts 
bitrate=800:bframes=1:me=umh:partitions=all:trellis=1:direct_pred=auto:nofast_pskip:nodct_decimate 
-oac lavc -lavcopts aglobal=1:acodec=libfaac:abitrate=128
(with "-oac faac -faacopts br=128" I had no sound under MPlayer only)

here's the resulting MOV file:
