OK, I've tried this above command, as well as variations on the theme.  I can get a file out, but it it way too big and has some AV sync issues. (The original file is ~20MB and plays just fine.)

The source WMV is reported by Windows Media Player as:

Audio: Windows Media Audio 9.1 20 kbps, 22 kHz, mono (A/V) 1-pass CBR
Video: Windows Media Video V7
Total Bitrate: 64 Kbps  

So, my two questions are:

1) What is the correct version of MEncoder to use? (Currently using MEncoder 1.0rc2-4.2.1 from the download page.)

2) Given the above WMV file, what would be the correct command line to produce an iPod friendly x264/acc movie of about the same file size?

PS. When encoding, I do see a lot of errors like:
